These Terms constitute a legally binding agreement between you and Xfix Global Limited. If you disagree with any part of these terms, we strongly advise that you discontinue your use of our platforms and services. Your continued use signifies your acceptance of these terms, including any future amendments that may be made from time to time.

By accessing and utilizing the services of Xfix Global Limited, including all our software platforms, applications, and associated features, you agree to abide by the terms and conditions outlined in this document. These Terms govern the use of our services, including any content, functionality, and features offered through our platforms. These Terms apply to all users, including but not limited to property managers using Nesthub Global, business owners utilizing Daphas POS, educational institutions using Shule Yangu Online, merchants using StreamPay, and any enterprise clients receiving custom software solutions.

These Terms also incorporate by reference our Privacy Policy, Acceptable Use Policy, and any other policies or guidelines that may be published on our platforms. In the event of any conflict between these Terms and any other policy, these Terms shall prevail unless expressly stated otherwise.

Definitions

"Company", "We", "Our", or "Us" refers to Xfix Global Limited, a company registered in Kenya, and all its subsidiaries, affiliates, and related entities that provide software engineering services and platforms.

"You", "User", "Customer", or "Client" refers to any individual, entity, organization, or business that accesses, uses, subscribes to, or engages with any Xfix Global Limited platform, product, or service.

"Services" or "Platforms" refers to all software applications, websites, APIs, tools, and associated features provided by Xfix Global Limited, including Nesthub Global, Daphas POS, Shule Yangu Online, StreamPay, Giigikuyu Giitu, and all custom enterprise solutions.

"Agreement" or "Terms" refers to this Terms and Conditions document, together with the Privacy Policy, Acceptable Use Policy, and any other policies or guidelines that may be published or provided to users.

"Content" refers to all data, information, text, images, documents, files, and other materials uploaded, submitted, generated, or stored by users within our platforms.

"Subscription" or "Plan" refers to the paid or free service tier selected by users to access specific features, functionality, or usage limits within our platforms.

Account Registration and Security

To access and use our services, you must create an account by providing accurate, current, and complete information. You are solely responsible for maintaining the confidentiality of your account details, including your username, password, and any multi-factor authentication credentials. Furthermore, you are responsible for any activity that occurs under your account, whether authorized by you or not.

  • You must not share your account credentials with any unauthorized third party
  • You must immediately notify us of any unauthorized use of your account or any other security breach at security@xfixglobal.com
  • You are responsible for all activities that occur under your account, regardless of whether the activities are authorized by you
  • We recommend enabling multi-factor authentication where available for enhanced security
  • You must ensure that your account information remains current and accurate at all times
  • Accounts may not be transferred or assigned to another party without our written consent

We reserve the right to suspend or terminate accounts that provide false, inaccurate, or incomplete information, or that violate these Terms. You must be at least 18 years of age (or the age of majority in your jurisdiction) to create an account. By creating an account, you represent and warrant that you meet this age requirement.

User Responsibilities and Prohibited Conduct

Important Notice: Violation of these responsibilities may result in immediate suspension or termination of your account, legal action, and liability for damages. We reserve the right to investigate and cooperate with law enforcement authorities in prosecuting violations of these Terms. We also reserve the right to monitor usage patterns and server logs to detect and prevent unauthorized activities.

Payment, Fees, and Billing

Xfix Global Limited offers a range of subscription plans and service tiers to accommodate businesses of all sizes. Some features of our platforms may require payment of subscription fees, transaction fees, or service charges. All fees are clearly outlined in our pricing documentation, and by subscribing to any paid service, you agree to pay all applicable fees in accordance with the terms provided.

Price Changes:

We reserve the right to revise our pricing structure at any time. Affected users will receive at least 30 days' advance notice via email. Price changes will take effect at the start of the next billing cycle.

Cancellation Policy:

You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of the current billing period. No partial refunds are provided for unused portions of prepaid subscriptions.

Refund Policy:

Refunds are issued at our sole discretion. Generally, we do not provide refunds for partial subscription periods. Refund requests must be submitted within 14 days of the charge date and will be evaluated on a case-by-case basis.

Failed Payments:

If your payment method fails, we will attempt to retry the charge up to 3 times over 7 days. Continued failure may result in service suspension. A reactivation fee may apply to restore services after suspension.

Trial Periods:

New users may be eligible for a 14-day free trial. No payment information is required to start a trial. Unless canceled before the trial ends, your subscription will automatically convert to a paid plan.

Volume Discounts:

Discounts are available for annual commitments, multiple user seats, and enterprise agreements. Contact our sales team at sales@xfixglobal.com for customized pricing.

Payment Security: All payment information is processed through PCI DSS Level 1 compliant payment gateways. We do not store full credit card details on our servers. Payment data is tokenized and securely transmitted to our payment partners for processing.

Delinquent Accounts & Collections

Failure to remit payments on time may result in suspension or termination of services. Accounts with outstanding balances beyond 30 days may be referred to a third-party collections agency. You are responsible for all costs associated with collections, including reasonable attorney fees and collection agency fees. Access to data may be restricted until the account is brought current.

Intellectual Property Rights

All intellectual property rights in and to our platforms, services, software, code, designs, trademarks, logos, and content (excluding user-submitted content) are owned by Xfix Global Limited or our licensors. These rights are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

  • Platform designs, user interfaces, and visual elements
  • Trademarks, service marks, and logos including "Xfix Global," "Nesthub," "Daphas POS," and others
  • Documentation, guides, and training materials
  • Patents and patentable inventions
  • Server configurations, deployment scripts, and infrastructure architecture
Your Intellectual Property
  • You retain ownership of all content you submit to our platforms
  • You grant us a license to host, store, process, and transmit your content to provide services
  • We do not claim ownership of your business data, documents, or user information
  • You represent that you have all necessary rights to submit content to our platforms
  • We may use aggregated, anonymized data for platform improvement and analytics

You may not copy, modify, distribute, sell, or lease any part of our services or software without our express written consent. Any unauthorized use of our intellectual property may result in termination of your account and legal action.

Termination and Suspension

We reserve the right to suspend or terminate your account and access to our services at any time, without prior notice, if we determine that you have violated these Terms or engaged in harmful or unlawful activities. You may terminate your account at any time by contacting our support team.

Effect of Termination: Upon termination, all licenses granted to you under these Terms immediately cease. We may delete or retain your data in accordance with our Privacy Policy and applicable laws. Data stored on our TrueHost infrastructure will be handled according to our data retention schedules.

Limitation of Liability

To the fullest extent permitted by law, Xfix Global Limited shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of data, loss of profits, loss of business opportunities, or goodwill.

Our total liability to you for any claims arising from these Terms or your use of our services shall not exceed the amount you paid us in the twelve (12) months preceding the event giving rise to the liability. The services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind.

Indemnification

You agree to indemnify, defend, and hold harmless Xfix Global Limited, its officers, directors, employees, agents, affiliates, and hosting partners (including TrueHost and Cloudoon Networks) from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to: (a) your use of our services; (b) your violation of these Terms; (c) your violation of any applicable laws or regulations; (d) your content or data; (e) any dispute between you and third parties; or (f) any activity conducted through your account.

Governing Law and Dispute Resolution

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of Kenya, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of our services shall be resolved through binding arbitration in Nairobi, Kenya, in accordance with the Arbitration Act of Kenya. The arbitration shall be conducted in English. Each party shall bear its own costs and expenses, and the prevailing party shall be entitled to recover its reasonable attorneys' fees and costs.

Changes to Terms

We reserve the right to modify or update these Terms at any time. Material changes will be notified to users via email, platform notifications, or website updates at least 30 days in advance. Your continued use of our services after any such modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you should discontinue using our services. The most current version of these Terms will always be available on our website.

Miscellaneous Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and Xfix Global Limited.
  • Severability: If any provision is found to be invalid or unenforceable, the remainder shall remain in full effect.
  • Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right.
  • Force Majeure: We are not liable for delays or failures resulting from causes beyond our reasonable control.
  • Assignment: You may not assign these Terms without our written consent.
  • Third-Party Beneficiaries: Our hosting partners, including TrueHost and Cloudoon Networks, are third-party beneficiaries of these Terms.
